Terms of service

1. Who we are

2. The service
Upspace Connect is a software service that connects your business's WhatsApp number to a shared inbox, automations, templates, contacts, analytics and an API, using Meta's WhatsApp Business Platform (Cloud API). We are independent of Meta and WhatsApp; your use of WhatsApp is also subject to Meta's WhatsApp Business Terms, Business Messaging Policy and Commerce Policy, which you accept when you connect your number.
3. Your account
- You must provide accurate business information and keep your login credentials secure.
- The workspace owner is responsible for everyone they invite and for the roles they assign.
- You must be authorised to act for the business whose WhatsApp number you connect.
4. Acceptable use
You agree not to use the service to:
- message people who have not given the consent required by law and by Meta's policies, or ignore opt-out requests;
- send spam, unlawful, deceptive or harmful content, or content prohibited by Meta's Commerce Policy;
- attempt to access other customers' data, probe or overload the service, or circumvent plan limits or security controls.
We may suspend a workspace that breaches these rules or that Meta restricts, and will tell you why unless the law prevents it.
5. Plans, billing and cancellation
- Subscriptions are billed in advance, monthly or annually, through our payment processor Paddle, who acts as merchant of record and handles taxes, invoices and card data.
- Upgrades take effect immediately with a prorated charge; downgrades take effect at the next renewal.
- You can cancel at any time from Billing. Access continues until the end of the paid period. Except where required by law, fees already paid are not refunded.
- If a payment fails, we retry for a grace period; outbound messaging may then be paused until payment succeeds. Your data is kept.
6. WhatsApp messaging fees
Meta charges fees for certain WhatsApp messages. Unless your workspace uses managed billing agreed with us in writing, these fees are billed by Meta directly to the payment method on your WhatsApp Business Account and are not part of your subscription. Cost estimates we show are based on Meta's published rate cards and may differ from Meta's final invoice.
7. Your data
You own the content and contact data you bring to the service. You grant us the rights needed to host, process and transmit it to provide the service. We process personal data as described in our Privacy policy and, for your customers' data, as your processor under [data processing agreement reference].
8. Availability and changes
We work to keep the service available but do not guarantee uninterrupted operation, and parts of it depend on Meta, Paddle and other providers. We may change features; we will give reasonable notice of changes that materially reduce the service you pay for.
9. Liability
To the extent permitted by law, our total liability for any claim is limited to the fees you paid us in the 12 months before the claim, and we are not liable for indirect or consequential losses, lost profits, or restrictions Meta applies to your WhatsApp account. Nothing limits liability that cannot be limited by law.
10. Termination
You may close your workspace at any time. We may terminate for material breach after notice. After closure you can request an export of your data for [30] days, after which it is deleted from active systems.
11. Governing law
These terms are governed by the laws of [jurisdiction], and disputes are subject to the courts of [venue], unless mandatory consumer law says otherwise.
